Part I: Privacy Policy

This Privacy Policy (the "Policy") outlines how The National Soccer Roots ("NSR," "we," "us," or "our") collects, uses, shares, and protects information gathered from users ("you" or "user") who access our website, applications, and services (collectively, the "Services").

1. Collection of Information

We collect various types of information through your use of the Services, including information you provide directly and information automatically collected through technology.

1.1. Personally Identifiable Information (PII)

We collect PII when you register an account, subscribe to our newsletter, respond to a survey, fill out a form, place an order, or otherwise interact with the Services.1 This PII may include 2:

  • Contact Data: Full name, email address, mailing address, and telephone number.3
  • Biographical and Demographic Data: Date of birth, employment information, and geographical details (city, state, country).2

1.2. Sensitive Personal Information

Given the platform's focus on "Roots" and historical data, you may voluntarily submit or provide access to data that is considered Sensitive Personal Information (SPI) under laws like the CPRA, such as information concerning racial or ethnic origin or religious or philosophical beliefs.4 This SPI is only processed to provide the services reasonably expected by you (e.g., maintaining historical accuracy in biographical profiles).4 You have the right to limit the use and disclosure of this SPI, as detailed in Section 3.4.

1.3. Non-Personally Identifiable Information (Non-PII)

We collect Non-PII related to your activity on the Services, such as aggregated usage statistics, browser type, referring domain names, and masked IP addresses.2

2. Use and Disclosure of Information

2.1. Use of Personal Information

We use the collected PII for the following purposes:

  • Service Delivery: To operate the NSR website, deliver the requested services, maintain your account, and verify customer information.4
  • Processing Transactions: To process orders, transactions, and manage payments.1

  • Non-PII: Non-personally identifiable visitor information may be provided to external parties for generalized marketing, advertising, or analytical uses.1

2.3. International Data Transfers

The NSR platform is based in the United States. While we promote trusted cross-border data flows, we operate in compliance with US national security directives, which place restrictions on certain data transactions that may grant access to US sensitive data by entities associated with Countries of Concern.5 We do not permit or engage in outsourcing functions or data training that involves accessing covered sensitive data to providers in such restricted jurisdictions.6

3. Your Privacy Rights and Choices

We respect your right to access, control, and delete your personal information. If you reside in the European Economic Area (EEA) or California, you have the following rights, among others:

3.1. Right to Access and Correction

You have the right to request access to the specific pieces of personal information we have collected about you and the business purposes for which the data was collected or sold/shared.7 You also have the right to correct inaccurate personal information that we maintain about you.8

3.2. Right to Deletion (Erasure)

You have the right to request the deletion of your personal information that we have collected from you.8 We will honor these requests subject to certain legal exceptions, such as retaining information necessary to comply with legal obligations, maintain security, or resolve disputes.4

3.3. Right to Opt-Out of Sale or Sharing

You have the right to direct us to stop "selling" or "sharing" (including cross-context behavioral advertising) your personal information.7

3.4. Right to Limit Use of Sensitive PII

You may direct us to limit the use and disclosure of any Sensitive Personal Information (e.g., racial/ethnic origin) to only those purposes necessary for providing the requested Services.8

3.5. Other Rights (EEA Residents)

If you reside in the EEA, you have additional rights under the GDPR, including the Right to Restriction of Processing, the Right to Object to Processing (e.g., for direct marketing), and the Right to Data Portability.10

4. Cookies and Tracking Technologies

The Services use "cookies," small data files stored on your hard drive, and similar tracking technologies to help personalize your online experience.3 Cookies are considered personal data under most privacy laws.11

We use cookies for purposes including:

Part II: Terms of Service Agreement

Effective Date: 11/01/2025

This Terms of Service Agreement ("ToS" or "Agreement") constitutes a legally binding contract between you and The National Soccer Roots ("NSR," "we," "us," or "our") governing your use of our Services.

1. Acceptance of Terms

By accessing, using, registering for, or submitting content to the Services, you acknowledge that you have read, understood, and agree to be bound by these ToS, including all applicable laws and regulations.15 If you do not agree to these terms, you must not use the Services.

2. Modifications and Termination

2.1. Right to Modify

We reserve the right to update or modify these ToS at any time.15 Material changes will be communicated via email, site banner, or pop-up notice, outlining the major changes and the effective date.14 Your continued use of the Services after the effective date of any such changes constitutes your acceptance of the new ToS.

2.2. Termination of Access

The National Soccer Roots reserves the right, in its sole discretion, to terminate your access to the Services, or any portion thereof, at any time and without notice, including the right to edit, refuse to post, or remove any information or materials.16 If your account is terminated, you agree not to attempt to register a new account without our express written permission.17

3. Intellectual Property Rights

3.1. Platform IP and Trademarks

All trademarks, service marks, logos, software, underlying technology, and all original, copyrighted content on the Services (excluding User Generated Content, which is licensed) are proprietary to and owned by The National Soccer Roots or its licensors.16 No ownership rights or licenses are granted to you merely by using the Services. The use of any of these proprietary marks, including on any other website or networked computer environment, is strictly prohibited.16

3.2. Ownership of Data Compilation

You acknowledge that while raw soccer facts or statistics are generally not copyrightable 18, the intellectual property of the Services lies in the selection, coordination, arrangement, and indexing of these facts, which results in a proprietary compiled database.19 The National Soccer Roots owns the intellectual property rights to this proprietary compilation, aggregation, and any derived analytical output.20 You are granted a limited, non-exclusive license to access and view the compiled data only as permitted by these ToS, but you do not possess the exclusive right to control, copy, or transfer the dataset itself.19

4. User Generated Content (UGC)

The Services may allow you to submit content, including text, historical anecdotes, images, and biographical materials ("User Generated Content" or "UGC").

4.1. Grant of License to NSR

By submitting UGC, you irrevocably grant to The National Soccer Roots and its licensed parties a Perpetual, Worldwide, Non-Exclusive, Royalty-Free, No-Cost, Sublicenseable, and Transferable license and right to use and exploit your UGC.21 This includes the right to publicly display, publicly perform, distribute, and reproduce the UGC, and to create derivative works (e.g., editing, formatting, encoding) in any manner or medium now known or hereafter devised, in any commercial manner, and without the requirement to make any payment to you or any third party.21

4.2. Waiver of Moral Rights

You forever waive and relinquish all "moral rights" now or hereafter recognized (such as the right to attribution or integrity of the work) with respect to any UGC submitted to the Services.21

4.3. User Representations and Warranties

You represent and warrant that 23:

  • You own or have the necessary licenses, rights, and consents to grant the license described above to NSR.21
  • Your UGC submission and our subsequent use of the content will not infringe upon the intellectual property rights (including copyright or trademark) or the Right of Publicity or privacy rights of any third party (including historical soccer players whose likenesses may be depicted).24

5. User Obligations and Prohibited Activities

5.1. Account Responsibility

You are solely responsible for maintaining the confidentiality of your passwords and account information.17 You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur through the use of your passwords or accounts.17

5.2. Prohibited Activities

You are prohibited from: engaging in illegal acts; transmitting harassing or defamatory content; attempting unauthorized access to the platform; uploading malicious code; and performing unauthorized bulk data collection, scraping, or mass reproduction of the compiled database content.16

6. Disclaimers, Warranties, and Liability Limitations

6.1. Disclaimer of Warranties

THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS.25 YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.25 THE NATIONAL SOCCER ROOTS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.25 WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALWARE OR VIRUSES.25

6.2. Limitation of Liability

IN NO EVENT SHALL THE NATIONAL SOCCER ROOTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION).16 This exclusion applies regardless of the form of action (contract, negligence, or other tortious action).16 NSR'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES SHALL BE LIMITED TO THE TOTAL PRICE YOU PAID TO NSR FOR PRODUCTS OR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.17

6.3. User Indemnification

You agree to defend, indemnify, and hold The National Soccer Roots (including its officers, directors, employees, and agents) harmless from and against any and all losses, damages, liabilities, and costs (including reasonable attorneys' fees) arising from 16:

  • Your use of and access to the Services;
  • Your violation of any of these ToS; or
  • Your violation of any third-party right, including without limitation any copyright, property, privacy, or Right of Publicity right, particularly those relating to your User Generated Content.16

7. Governing Law and Dispute Resolution

7.1. Governing Law and Venue

These Terms of Service shall be governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles.27 The parties agree that the exclusive forum for any judicial action not subject to arbitration shall be the federal or state courts located in, USA.27

7.2. Mandatory Binding Arbitration

ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS CONTRACT, OR THE BREACH THEREOF, SHALL BE SETTLED BY BINDING ARBITRATION.29 Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.30

Class Action Waiver: You agree that any arbitration or dispute resolution proceedings will be conducted solely on an individual basis and that you waive your right to participate in any class action litigation or mass arbitration.31

Severability: If any portion of this mandatory arbitration clause is deemed invalid or unenforceable, the remaining provisions of the arbitration clause shall remain in full force and effect.32
